Welcome to YOUnique Studio (“Company,” “we,” “our,” or “us”). These Terms and Conditions ("Terms") govern your access to and use of our website, www.youniquestudio.net (the "Site"), and our branding services. By using our Site, purchasing services, or engaging in any transactions with us, you agree to these Terms.
If you do not agree with these Terms, please do not use our services.
Services & Scope
YOUnique Studio specializes in branding strategy, brand identity design, and related creative services. The specific details of each service, including scope, deliverables, pricing, and timelines, will be outlined in a separate proposal, invoice, or contract agreed upon before the project begins.
We reserve the right to decline projects that do not align with our expertise, availability, or ethical standards.
Payments & Refunds
- All payments must be made in full (or via an approved payment plan) before project work begins.
- For payment plans, an initial deposit is required to secure your slot. The remaining balance must be completed according to the agreed schedule.
- Failure to complete payments on time may result in Project delays or suspension. Additional late fees or interest charges & Termination of the contract without refund.
b. Accepted Payment Methods
We accept payments via:- Credit/Debit Cards (processed securely through Wise or PayPal).
- Bank Transfers (for Philippine-based clients, upon request)
Due to the custom nature of branding and design services, all sales are final, and we do not offer refunds once work has commenced.
However, refunds may be considered if:
- YOUnique Studio is unable to fulfill the service due to unforeseen circumstances.
- A client cancels the project before work begins (a partial refund may be granted minus administrative fees).
Refunds are not available for:- Completed work that has been approved by the client.
- Change of mind after work has started.
- Delays caused by the client’s lack of communication or failure to provide necessary materials.
Client ResponsibilitieS
For the best results, collaboration is key! As a client, you agree to:- Provide all necessary information, content, and materials (e.g., brand details, photos, inspirations) in a timely manner.
- Respond promptly to communication and approvals to keep the project on schedule.
- Ensure all materials provided (e.g., images, fonts) are legally owned or licensed to avoid copyright infringement.
- Respect agreed-upon timelines and avoid unnecessary delays.
Failure to meet these responsibilities may result in project delays or additional fees. Intellectual Property & Usage Rights
a. Ownership of Design Concepts
- YOUnique Studio retains full ownership of all original design concepts created during the project.
- Once full payment has been received, you receive a non-exclusive, non-transferable license to use the final brand assets for your business purposes only.
Clients may not:
- Claim credit for, resell, or redistribute the designs.
- Make modifications to the final design without our consent.
- Use the designs for unauthorized commercial purposes outside the agreed scope.
c. Portfolio & Promotional Use
YOUnique Studio reserves the right to:
- Display completed projects in our portfolio, website, or social media for promotional purposes.
- Feature case studies showcasing the branding work.
If you prefer your project to remain confidential, please inform us before the project begins.
Revisions, Additional Fees & Changes in Scope
Each project includes a set number of revisions, as outlined in your contract.- Minor revisions (e.g., color tweaks, small text edits) are included.
- Major revisions (e.g., complete redesign, additional elements) may incur additional fees.
- Once final approval is given, further changes will be billed separately depending on the complexity and scope of the revision.
b. Additional Work & Out-of-Scope Requests
If you request additional work beyond the agreed scope, we will provide a separate estimate for approval before proceeding.
Project Timelines & Delays
- Project timelines are estimated based on:
- The client’s responsiveness to feedback and approvals.
- The complexity of the project.
- The current workload of YOUnique Studio.
While we strive to meet deadlines, external factors (such as delayed feedback from the client) may impact the timeline.
b. Unresponsiveness & Paused Projects
If a client becomes unresponsive for 30+ days, the project may be:- Put on hold until further communication is received.
- Cancelled without refund if no communication is received within 60 days.
To resume a paused project, additional reactivation fees may apply. Limitation of Liability
YOUnique Studio is not liable for:
- Any loss of business, revenue, or reputation resulting from the use of our designs.
- Printing errors, third-party modifications, or incorrect file usage after the final files are delivered.
- Delays caused by external vendors, third-party integrations, or client unresponsiveness.
Our maximum liability shall not exceed the total amount paid for the service.
Confidentiality
Both parties agree to:
- Keep all sensitive project details confidential.
- Not disclose trade secrets or proprietary business information shared during the project.
However, YOUnique Studio reserves the right to showcase completed projects in our portfolio unless a prior NDA agreement is in place.
Cancellations & Termination
a. Client-Initiated Cancellations
If the client chooses to cancel the project:- Any work completed up to the point of cancellation must be paid for in full.
- The initial deposit is non-refundable.
b. Studio-Initiated Cancellations
YOUnique Studio reserves the right to terminate a project if:
- The client is unresponsive for 30+ days.
- There is a breach of contract, misuse of deliverables, or disrespectful behavior.
Unforeseen circumstances prevent us from completing the work (in which case a prorated refund may be issued).
Governing Law & Dispute Resolution
These Terms shall be governed by the laws of the Republic of the Philippines.
In the event of a dispute, both parties agree to:
- First seek an amicable resolution via written communication.
- If unresolved, the matter may be escalated to mediation or arbitration, as required by local laws.
Legal disputes will be settled in the courts of Muntinlupa City, Metro Manila.
